Acceptance of Agreement

Your access to and use of the Advion BioSciences, Inc. (Advion) website and portal (the “Portal”) is subject to the following terms and conditions and all applicable laws. By accessing and browsing the Portal, you accept and agree to, without limitation or qualification, the terms and conditions and acknowledge that any other agreements between you and Advion are superseded and of no force or effect with respect to your access and use of the Portal. If you do not agree to these terms you may not use this Portal.

Exclusion of Warranty

While Advion uses reasonable efforts to include accurate and up-to-date information in the Portal, Advion makes no warranties or representations as to its accuracy. Advion and its affiliates, and their respective officers, directors, employees and agents assumes no liability or responsibility for any errors or omissions in the content of the Site. Without limiting the foregoing, everything on the Portal is provided to you “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. Please note that some jurisdictions may not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you. Check your local laws for any restrictions or limitations regarding the exclusion of implied warranties.

Limitation of Liability

Your use of and browsing in the Portal are at your own risk. Neither Advion, nor its affiliates, nor their respective officers, directors, employees, and agents, nor any other party involved in creating, producing or delivering the Portal is liable for any direct, incidental, consequential, indirect or punitive damages (even if Advion has been advised of the possibility of such damages, and whether in contract, tort, or otherwise) arising out of your access to, or use of, the Portal. Advion assumes no responsibility, and shall not be liable for, any damages to, or viruses that may infect, your computer equipment or other property on account of your access to, use of, or browsing in the Portal or your downloading of any materials, data, text or images from the Site.

Prohibited Transmissions

You may not post or transmit any unlawful, threatening, libelous, defamatory, obscene, indecent, inflammatory, pornographic or profane material or any material that could constitute or encourage conduct that would be considered a criminal offense, give rise to civil liability or otherwise violate any law. In addition, you are prohibited from posting or transmitting any information which (a) infringes the rights of others or violates their privacy or publicity rights, (b) is protected by copyright, trademark or other proprietary right, unless with the express written permission of the owner of such right, (c) contains a virus, bug or other harmful item, or (d) is used to unlawfully collude against another person in restraint of trade or competition. You shall be solely liable for any damages resulting from any infringement of copyright, trademark, or other proprietary right, or any other harm resulting from your use of the Site.

User Submissions

Any electronic communications to the Portal is governed by the Site’s Privacy Policy. Any communication or material you transmit to the Portal by electronic means or otherwise, including any files, data, questions, comments, suggestions or the like is, and will be treated as, confidential and proprietary.

Data Privacy

Advion takes the issue of data privacy very seriously and has a Privacy Policy to protect any information you submit. The Privacy Policy includes both technical and operational measures including the use of passwords, restricted access to databases, use of transaction safeguards to prevent unauthorized access to system data and the reporting of unauthorized use to the Advion system security unit. However, no company can absolutely guarantee data security and thus Advion disclaims all liability in connection with the security or confidentiality of data.

Governing Law

This Terms of Use Agreement and your use of the Portal shall be governed by the laws of the United States of America and the State of New York without regard to its conflicts of laws principles. Any legal action or proceeding related to this Portal shall be brought exclusively in a federal or state court of competent jurisdiction sitting in New York. If any provision of these Terms and Conditions shall be held illegal, void, or unenforceable, the remaining portions shall remain in full force and effect.

Modification of Agreement

Advion may, at any time, revise the terms and conditions of this agreement governing use of the Portal. If any terms and conditions contained in this Legal Notice are changed, the amended notice will be posted on the Site. You are bound by any such revisions and should, therefore, periodically review these terms and conditions.
